Please read these Terms of Service ("Terms") carefully before using the Namma Yatri mobile application, website at nammayatri.com, or any related services (collectively, the "Services") operated by Namma Yatri, Inc. ("Namma Yatri," "Company," "we," "us," or "our"), a corporation incorporated under the laws of the State of Texas, with its registered office at 1701 Directors Blvd, Suite 300, Austin, TX 78744.

By creating an account, accessing, or using the Services, you ("User," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree with any part of these Terms, you must not use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Namma Yatri. They govern your access to and use of the Services, including the ride-matching platform, payment processing features, driver-partner onboarding tools, and any software provided by Namma Yatri in connection with the Services.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the app notification system and by email (if you have provided one) at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Services before they take effect.

These Terms should be read together with our Privacy Policy and Cookie Policy, which are incorporated herein by reference. In the event of any conflict between these Terms and our Privacy Policy, the Privacy Policy will govern with respect to data processing matters.

2. Eligibility and Account Registration

2.1 Eligibility

To use the Services, you must be at least 18 years of age. By using the Services, you represent and warrant that you meet this age requirement. You must also have the legal capacity to enter into binding contracts under applicable law. Residents of jurisdictions where the Services are not legally permitted are not eligible to use the Services.

2.2 Account Creation

To access most features of the Services, you must create a user account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at support@nammayatri.com.

2.3 Driver-Partner Registration

In addition to standard account registration, driver-partners must complete an enhanced verification process that includes identity verification against government-issued documents, vehicle registration verification, driver's license verification, commercial vehicle permit verification, background screening, and vehicle inspection. Driver-partners represent and warrant that all submitted documentation is accurate, authentic, and currently valid. Providing false or fraudulent documentation constitutes grounds for immediate account termination and may be reported to relevant authorities.

3. Description of Services

3.1 Ride-Hailing Platform

Namma Yatri provides a technology platform that enables riders to request transportation services from independent driver-partners in the same geographic area. The Services include: real-time driver matching based on proximity and availability; in-app navigation for driver-partners; electronic fare payment processing; trip history and receipts; in-app communication between riders and driver-partners; safety features including SOS alerts and trip sharing; and customer support.

3.2 Zero-Commission Model

Namma Yatri operates on a zero-commission model: 100% of trip fares paid by riders are transferred to driver-partners. Namma Yatri does not deduct a percentage commission from trip fares. Namma Yatri generates revenue through optional driver-partner subscription services, municipal partnership programs, and anonymized data licensing with explicit user consent. Standard payment processing fees charged by payment service providers (typically 0.5–1.5% of transaction value) are disclosed transparently in the payment flow.

3.3 Independent Contractor Relationship

Driver-partners are independent contractors, not employees, agents, or representatives of Namma Yatri. The Services connect riders with independent transportation service providers. Namma Yatri does not direct or control the manner in which driver-partners provide transportation services beyond establishing safety, vehicle, and conduct standards necessary for platform participation. Driver-partners determine their own working hours, service areas, and operational decisions within the parameters of these Terms.

4. User Conduct and Responsibilities

4.1 Rider Responsibilities

Riders agree to: provide accurate pickup and destination information; be present at the designated pickup location within a reasonable time of driver-partner arrival; treat driver-partners with courtesy and respect; not request transportation for unlawful purposes; not travel with prohibited items including illegal weapons, controlled substances, or animals prohibited by applicable vehicle regulations; not damage or contaminate the driver-partner's vehicle; and pay agreed fares promptly through the platform payment system.

4.2 Driver-Partner Responsibilities

Driver-partners agree to: maintain all required licenses, permits, insurance, and vehicle certifications in good standing throughout their platform participation; operate vehicles in a safe, lawful manner at all times; treat riders with courtesy and professionalism; follow the designated route unless agreed otherwise with the rider; not misuse rider personal data received through the platform; maintain their vehicle in clean, safe, and roadworthy condition; and comply with all applicable traffic laws, transport regulations, and Namma Yatri community guidelines.

4.3 Prohibited Conduct

All users are prohibited from: engaging in harassment, discrimination, or abusive behavior toward other platform users; attempting to circumvent the platform by conducting off-platform cash transactions to avoid fare payment; creating false accounts or impersonating others; using the platform for any unlawful purpose; attempting to reverse-engineer, decompile, or extract proprietary algorithms from the platform (though our open-source codebase is available through our public repository); collecting or harvesting personal data of other users; and using automated means to access or interact with the platform in ways not authorized by these Terms.

5. Fares, Payments, and Cancellations

5.1 Fare Calculation

Fares are calculated based on base fare, per-kilometer rate, minimum fare, and applicable time-of-day adjustments, as displayed in the app before trip confirmation. Fare components and calculation methodology are publicly disclosed in our Platform Documentation. We do not apply surge pricing; fare adjustments during high-demand periods reflect additional regulatory charges where applicable, not platform revenue optimization.

5.2 Payment

Payment for trips is processed through the in-app payment system. Accepted payment methods include UPI, linked bank accounts through BHIM, and platform-maintained wallet balance. All payments are processed by licensed payment service providers. By using in-app payment, you authorize Namma Yatri to initiate payment transactions on your behalf as your limited payment agent. Payment disputes should be submitted through the in-app support system within 14 days of the disputed transaction.

5.3 Cancellations

Riders may cancel a trip request before a driver-partner accepts it at no charge. Cancellations after driver-partner acceptance but before pickup may incur a nominal cancellation fee as disclosed in the app, which compensates the driver-partner for time spent traveling to the pickup location. Driver-partners who cancel accepted trips without valid reason may have their matching priority affected as noted in our Driver Standards documentation.

6. Ratings and Feedback

After each completed trip, riders and driver-partners may rate each other on a scale of 1 to 5 stars and provide optional written feedback. Ratings contribute to aggregate platform quality metrics. Persistently low ratings may affect a driver-partner's access to the platform after a review process as described in our Driver Standards documentation. Rating manipulation — including soliciting ratings, offering incentives for ratings, or using multiple accounts to affect ratings — is prohibited and may result in account suspension.

7. Intellectual Property

7.1 Our Open-Source Platform

Namma Yatri's platform code is published under open-source licenses specified in our GitHub repository at github.com/nammayatri. You may use, modify, and distribute platform code in accordance with the applicable open-source license terms. Open-source licensing of our code does not extend to our trademarks, brand assets, or proprietary data assets including our driver and rider databases.

7.2 Brand and Trademarks

The Namma Yatri name, logo, and related brand elements are trademarks of Namma Yatri, Inc. You may not use our trademarks, trade dress, or other brand elements without our prior written permission. Permitted uses of our brand elements are described in our Brand Usage Guidelines available at nammayatri.com/brand.

7.3 User Content

By submitting ratings, reviews, support communications, or other content through the Services, you grant Namma Yatri a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with operating and improving the Services. This license does not extend to selling your content to third parties or using it for purposes unrelated to platform operation.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUOUS AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM SECURITY VULNERABILITIES, OR THAT ANY DRIVER-PARTNER WILL BE AVAILABLE FOR ANY PARTICULAR TRIP REQUEST AT ANY PARTICULAR TIME.

NAMMA YATRI IS A TECHNOLOGY PLATFORM THAT CONNECTS RIDERS WITH INDEPENDENT DRIVER-PARTNERS. WE ARE NOT A TRANSPORTATION PROVIDER AND DO NOT GUARANTEE THE QUALITY, SAFETY, OR RELIABILITY OF TRANSPORTATION SERVICES PROVIDED BY DRIVER-PARTNERS. WHILE WE ESTABLISH AND ENFORCE PLATFORM STANDARDS, WE ARE NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF INDEPENDENT DRIVER-PARTNERS IN THE PROVISION OF TRANSPORTATION SERVICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAMMA YATRI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR THE ACTS OR OMISSIONS OF DRIVER-PARTNERS.

NAMMA YATRI'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO NAMMA YATRI IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND INDIAN RUPEES (INR 1,000). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Namma Yatri and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: your use of the Services; your violation of these Terms; your violation of any applicable law or the rights of any third party; any content or information you provide through the Services; or your interactions with other platform users.

11. Termination and Suspension

You may terminate your account at any time through the app's Account Settings. We may suspend or terminate your access to the Services if you violate these Terms, engage in fraudulent or unlawful activity, create safety risks for other platform users, or as otherwise required by law. We will generally provide notice and an opportunity to cure violations before termination, except where immediate termination is required for safety or legal compliance reasons. Upon termination, your right to use the Services ceases immediately, subject to any ongoing legal obligations we have to retain your data.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles, except that matters relating to transportation services provided within India are subject to applicable Indian law and regulatory requirements. For disputes arising from transportation services in India, you may contact the relevant State Transport Authority.

For disputes between you and Namma Yatri, we encourage you to first contact our customer support team to seek an informal resolution. If a dispute cannot be resolved informally, you agree to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring claims in small claims court for disputes within applicable jurisdictional thresholds.

13. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Namma Yatri regarding the Services and supersede all prior agreements, representations, and understandings.

Severability: If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
